Frequently asked questions

What does the Foundation package include exactly?

Foundation covers the initial legal structure of your startup: entity formation, founders agreement (with vesting and IP assignment), base contracts (MSA, NDA, T&C, privacy policy), initial governance and document setup in InvestmentReady. The exact scope is defined in the initial assessment based on each startup's stage and needs.

What stage of startup is Foundation designed for?

Foundation is designed for startups that are just launching or that have been operating for a while without formalizing their legal structure. It's also the starting point for founders who want to organize their foundation before seeking investment or scaling their team.

How long does it take to implement Foundation?

In most cases, Foundation is implemented in 3 to 6 weeks depending on the complexity of the corporate structure and the number of documents that require negotiation between founders. We work with agility so as not to slow down your operations.

Can I start with Foundation and then move to Ready or Ongoing?

That's exactly how the system is designed. Foundation is the first layer; Ready adds the infrastructure needed for fundraising; and Ongoing is continuous legal support with Offsite General Counsel. You can progress through stages based on your growth moment.

What type of entity should I form?

It depends on your market, fundraising plans and the jurisdiction where you operate. For startups seeking international venture capital, a Delaware C-Corp is usually the standard. For local operations, an LLC or local entity may be sufficient. In the initial assessment we recommend the most suitable structure for your specific case.

Why is the founders agreement important from the start?

The founders agreement sets the rules between co-founders: who gets what equity, how vesting works, what happens if someone leaves, and who owns the IP. Without this agreement, conflicts between founders can destroy a startup even before it crosses the threshold of success.

Does Foundation include client contracts?

Foundation includes base contracts (MSA, NDA, standard T&C). If your business model requires more specific or negotiated contracts with enterprise clients, that can be included in the assessment scope or addressed in a Ready or Ongoing stage.

How is the documentation you deliver organized?

All documentation is centralized in InvestmentReady, our legal infrastructure platform. There you can access all your documents, see the status of each one and share them with investors or auditors when needed. It's the foundation for subsequent stages.
