Frequently asked questions
Do I need a local Argentine lawyer if my company is incorporated in Delaware?
Yes — if you have operations, employees or contracts in Argentina. A Delaware C-Corp is the right holding structure for VC fundraising, but Argentina has its own labor law, tax obligations, IP registrations and regulatory requirements that require local legal coverage. Most founders with a Delaware holding still need an Argentine lawyer to handle the subsidiary and local operations.
What legal services do startups in Argentina typically need?
The most common needs at early stage: co-founders agreement with vesting, IP assignment to the company, service contracts with first customers, employment agreements, corporate structure (Argentine SAS or Delaware C-Corp depending on funding goals). As startups scale: SAFE agreements, investor term sheet review, data room preparation, regulatory compliance and M&A preparation.
How much do startup legal services cost in Argentina?
We structure fees as project fees (fixed price for a specific deliverable) or monthly retainers (for ongoing Fractional GC coverage). Typical project fees: co-founders agreement USD 800–1,500; Argentine SAS formation USD 1,000–2,000; Delaware C-Corp USD 3,000–8,000; SAFE round (per investor) USD 2,000–4,000. We always quote before any commitment — no billing surprises.
Can Kaplan represent both Argentine founders and foreign investors?
We represent Argentine and LATAM founders raising capital from US and international investors. We also represent foreign companies entering Argentina. When there is a direct conflict between a founder and an investor in the same transaction, we will advise on the structure but each party should have independent counsel. We make this clear upfront.
What makes legal work in Argentina different from the US?
Argentina has strict labor protection laws (make hiring and termination more complex and costly), foreign exchange regulations (affect how companies receive and remit USD), a different regulatory environment for financial services and crypto, and an IGJ-based corporate registry system. These create specific requirements that US-only counsel can miss. Our team handles both sides of the structure.
